User Agreement

This User Agreement (hereinafter referred to as the “Agreement”) is a legally binding contract between RATIOX LTD and the User. Acceptance of this Agreement, along with the Privacy Policy, is required to use the platform.

Definitions

User Profile – A collection of information about a User, including their photo, nickname, gender, age, preferences, and email address. This data is displayed on the Feeldate platform. The Feeldate Administration does not guarantee the accuracy or completeness of the information provided by Users.
HeartPoints (HP) – HP serve as an internal digital currency used to acquire additional Features on Feeldate. HP do not hold monetary value, cannot be refunded, transferred to electronic wallets, or exchanged for cash. They do not have an expiration date and can only be used for eligible Feeldate Features. The terms and conditions for purchasing HP are outlined on the Feeldate platform.
Verification – A voluntary process where a User takes a live selfie using their computer camera or uploads an image from their saved files. Feeldate moderators compare the selfie to the User’s profile picture. If the images match, the profile receives a “verified” status, confirming the identity of the individual in the photo.
User – An individual at least 18 years old, who accesses Feeldate via the Internet and agrees to the terms of this Agreement.
VIP Status – A premium membership granting various privileges, including:
- Fewer restrictions on messaging, allowing unlimited chat with all Users;
- Fewer limitations when adding Users as friends;
- Priority placement in search results and on the main screen;
- The ability to view the location of Users worldwide;
- The ability to gift VIP Status to other Users;
- The ability to create personal groups;
- The ability to send invitations to groups;
- The ability to post content within a group.
Sign-Up – The process of registering on Feeldate by filling out the required application form with necessary personal information.
Feeldate Service (Service) – A combination of software and hardware owned by the Company, through which Users gain access to Features and Services available on the Company’s website.
Paid Features of the Service – Additional functionalities that enhance the User experience on Feeldate, including:
- VIP Status subscription (available for durations ranging from one month to one year);
- Purchase of HP, the platform’s internal currency.
Features – Digital services that facilitate the exchange of information between Users on Feeldate.
Account – A User’s personal profile containing essential authentication data, granting access to their settings and stored information. Users may choose to include personal contact details within their account.
Functionality – Various tools and options available to Users through the Feeldate website.
Filters – Preferences set by the User to refine searches and interactions with other Users on the platform.

1. Subject of the Agreement

1.1. We grant you access to Feeldate under the terms and conditions outlined in this Agreement, allowing you to utilize its services.

1.2. Feeldate provides you with a platform to communicate with other Users, exchange information, organize mutual Events, arrange personal meetings, and access various Services and Features available within Feeldate.

1.3. By registering on Feeldate, you fully accept the terms and conditions of this Agreement without any reservations. You must review this Agreement before using the platform. If you disagree with any part of it, you must immediately stop using Feeldate. You indicate your complete acceptance of this Agreement by performing any of the following actions:

Signing up or using Feeldate in any manner;
Clicking the “Submit and Confirm” button during the registration process.

By using the Service, you also acknowledge your acceptance of the Privacy Policy, which is available at https://feeldate.com/privacy. The Service and its Features may only be used in accordance with this Agreement.

1.4. The Service serves to inform Users about its usage guidelines. You will have access to details regarding available Features, applicable Fees and payment terms, behavioral rules, and other necessary information. Based on this information, you independently decide whether to use Feeldate, create a profile, share your preferences, and upload photos. By registering on Feeldate, you confirm that you have read and understood the terms of this Agreement, the User Agreement, and the Privacy Policy.

1.5. We reserve the right to amend this Agreement at our sole discretion without providing prior notice to Users. Any new version of the Agreement takes effect immediately upon being published online at the designated location, unless otherwise specified. The latest version is available at https://feeldate.com/terms-and-conditions/. If you do not agree with any changes or provisions of this Agreement, you must cease using Feeldate.

1.6. By agreeing to this Agreement, you also confirm your acceptance of the Privacy Policy. Furthermore, you acknowledge that you are at least 18 years old, affirm the accuracy of the information you provide, and take full responsibility for its correctness, completeness, and truthfulness.

2. Registration Process

2.1. To access our service, you must create an account through our website. Each user is allowed only one account. If we detect multiple accounts belonging to the same person, we reserve the right to suspend or delete duplicate accounts.

2.2. During the registration process, you will set up a password, which you are responsible for keeping secure and confidential. Sharing your password with third parties is strictly prohibited.

2.3. If your password is lost, compromised, or accessed unlawfully by a third party, you must promptly notify our Support Team at [email protected].

2.4. While signing up, you will be required to complete a registration form, providing the following mandatory details:

A unique username;
A valid email address (with confirmation);
A secure password (with confirmation);
Selection of a subscription plan (status).

Additional information that can be added later includes:

Gender;
Age;
Preferences in a partner;
Profile photo;
Background banner.

2.5. You agree to submit only accurate and complete personal information and to ensure that your profile remains up to date. Your uploaded profile picture must be clear enough for recognition by other users. If we determine that the information you provided is false, incomplete, misleading, or if your profile photo does not depict you, we reserve the right to suspend or permanently remove your account, restricting access to our service and its features.

2.6. Should any of your registered details change, you must promptly inform the Feeldate Support Team to update your account information accordingly.

2.7. If incorrect or incomplete information is provided, we do not bear responsibility for any miscommunication, including incorrect matches or improper user profile suggestions that result from inaccurate data.

2.8. Our platform is strictly for users aged 18 and above. By signing up, you confirm and legally declare that:

You are at least 18 years old and fully agree to the terms outlined in this agreement;
You consent to the sharing of certain personal data with other users, specifically your nickname, gender, and age;
You allow the service to display the preferences you specify within your profile.

2.9. If, during a verification process (such as a selfie check), we suspect that you are under 18 years old, or if we receive user reports indicating a minor may be using the service, we may request additional proof of age and identity. This verification will require you to provide a selfie holding an official identification document, ensuring that both your face and the ID details are clearly visible.

3. Terms of Use of the Service

3.1. Feeldate is provided for your personal and non-commercial use.

3.2. Through Feeldate, you independently select other Users for communication, event planning, or personal meetings.

3.3. You are granted access to other Users’ profiles to browse, choose potential matches, and express your interest in them.

3.4. By using Feeldate, you acknowledge and agree that:

The quality of match selection depends on the Filters you apply, including those used when organizing Events;
We do not guarantee that the Users you select will like you in return;
We do not guarantee that the selected Users will be interested in meeting with you;
To fulfill our obligations under this Agreement, we share the information you provided at Sign Up exclusively with Users selected as potential partners.

3.5. While we strive to provide high-quality Services through Feeldate, we do not guarantee and are not responsible for the accuracy or completeness of the information you provide. We are also not liable for reciprocal likes from other Users, their attendance at meetings, or the accuracy of the selected User’s Profile.

3.6. Our communication with you will take place via email, your Feeldate account, and/or push notifications. You may contact us via email at [email protected].

4. Photo Guidelines on the Service

4.1. A profile picture is mandatory when registering on Feeldate.

4.2. All uploaded photos undergo mandatory review by the company’s moderation team.

4.3. The following types of photos are prohibited:

Explicit, pornographic, or sexually suggestive content;
Images containing text or personal information;
Photos lacking aesthetic value;
Depictions of violence or cruelty;
Content promoting smoking or alcohol consumption;
Pictures of children without accompanying adults;
Images that belong to someone else;
Photos where your face is not visible;
Pictures that include other people besides yourself in the main focus;
Any content that infringes upon the rights of others, including privacy rights, publicity rights, copyrights, trademarks, or other intellectual property rights.

5. Financial Terms

5.1. We may offer fee-based services, details of which can be found on Feeldate and within the paid services section of the Platform.

5.2. The pricing for Paid Services available on the Feeldate platform is determined by Us. The cost of these services may be adjusted at Our discretion. The latest pricing information is displayed on Feeldate. Any updated pricing takes effect upon publication on the platform and does not apply to services you have already paid for before the new fees were introduced.

5.3. Under UK law, We do not operate as a payment agent.

5.4. We explicitly state that We do not serve as a tax agent for Users. Each User is solely responsible for complying with applicable tax laws and regulations regarding any received funds. We bear no liability for a User’s failure to report income or fulfill tax obligations.

6. Company Rights

6.1. We reserve the right to:

Modify the design, functionality, content, features, software, stored data, and any server applications of Feeldate at any time without prior notice to the User.
Send you emails regarding the use of Feeldate, including promotional messages.
Alter the terms of the platform or discontinue its operation (either temporarily or permanently) with or without prior notice to the User.
Modify or remove any content that violates this Agreement and/or UK laws, as well as suspend, limit, or terminate User access to any part or all of the Service, including features, with prior notice to the User.
Implement additional restrictions on the use of Feeldate and modify these restrictions at any time.
Decline verification if the provided information is insufficient and/or the User’s photo does not meet Feeldate’s requirements.
Restrict or terminate access to the Service without prior notice if we determine that the User infringes upon third-party rights.
Suspend or block a User’s account if complaints are received from other Users regarding their behavior or actions, whether on the platform, in personal meetings, or at Events.
Offer paid Services to Users.
Unilaterally, either partially or entirely, withdraw from the Agreement at any time, informing the User accordingly.
Engage third-party services solely to fulfill obligations under this Agreement. You acknowledge that we may share User data (including personal information) with third-party services in accordance with our Privacy Policy.
Block (or delete) your account if you violate Feeldate’s terms of use.

6.2. If we receive any claims for damages caused by your actions, we will pass these claims on to you. It is your responsibility to cooperate in the resolution of all complaints, claims, and demands related to your use of Feeldate.

7. Restrictions on Using the Service

7.1. You are prohibited from:

Registering or logging in on behalf of another individual (“fake account”);
Deceiving other Users about your identity by using the login credentials of another registered User;
Falsely representing yourself or your association with any person or organization;
Uploading photos of other individuals instead of yourself, or images that misrepresent your actual appearance to the extent of being unrecognizable;
Engaging in actions that interfere with the proper functioning of the platform or personal pages of Users;
Attempting to obtain another User’s login credentials (username and password) through fraudulent means, deceit, or hacking;
Posting any content that, in the Company’s sole discretion, is inappropriate, does not align with the platform’s purpose, infringes on User interests, or is otherwise deemed unsuitable for Feeldate;
Sending unsolicited advertisements, promotional content, junk mail, or SPAM via email or any other means;
Using the Service to distribute mass unsolicited emails or any other form of SPAM. Failure to comply with the SPAM policy may result in the immediate termination of the User’s account;
Taking any action that disrupts the normal operation of Feeldate or attempts to circumvent its technical restrictions;
Copying, modifying, altering, deleting, adding to, publishing, transferring, or exploiting Feeldate’s exclusive or personal rights without explicit authorization from the rightful owner; posting third-party personal data on Feeldate; modifying Feeldate’s software in any way; or taking actions intended to alter the platform’s functionality;
Insulting, harassing, or violating the rights and freedoms of other Feeldate Users, third parties, or groups; using offensive language; distributing content that promotes unrest, extremist activities, or participation in unauthorized public gatherings; or sharing intellectual property materials in violation of Feeldate’s rules;
Posting content that:
- Could result in civil, criminal, or administrative liability;
- Encourages or endorses racism, fascism, hatred, or violence based on race, ethnicity, religion, disability, gender, age, nationality, sexual orientation, or gender identity, or contains other prohibited materials;
- Includes pornographic or erotic content, advertisements, promotions, or recommendations of commercial sexual or intimate services, fraudulent schemes, or other illegal activities;
- Contains private User information that infringes on personal rights, copyrights, or intellectual property;
Utilizing third-party applications to gain unfair advantages, automate actions, or manipulate Feeldate’s functionality.

8. Responsibility

8.1. If either party fails to fulfill or improperly fulfills their obligations, they shall be held liable in accordance with the applicable laws of the United Kingdom.

8.2. You use Feeldate at your own risk, as it is provided on an “as-is” basis. This means we do not take responsibility for any issues related to installation, updates, maintenance, or usage. This includes, but is not limited to, compatibility issues with other software (such as packages, drivers, etc.) or any discrepancies between the User’s expectations and their actual experience with Feeldate. The User acknowledges that they bear full responsibility for any negative consequences arising from incompatibility or conflicts between Feeldate and other software installed on their device.

8.3. Any materials and information accessed through Feeldate (including downloadable software, manuals, instructions, etc.) are used at the User’s own risk. The User assumes full responsibility for any consequences resulting from the use of such materials or information, including any damage to their device, loss of data, or harm caused to third parties.

8.4. The Company shall not be held liable for any losses or consequences incurred by the User as a result of:

Illegal actions by third parties or other Users, including personal meetings;
One User refusing to meet another User;
Any violations of third-party intellectual property rights related to the use of Feeldate.

8.5. Any software or hardware failures, whether on our side or yours, that prevent access to Feeldate are considered force majeure circumstances and release us from liability for the failure to fulfill obligations under this Agreement.

8.6. Temporary service interruptions on Feeldate are acceptable. If the platform becomes unavailable, we shall not be liable for failure to perform or improper performance of our obligations. We reserve the right to suspend Feeldate operations until any threats or errors are resolved.

8.7. Neither party shall be held liable for full or partial non-performance of their obligations if such failure is caused by force majeure events that occurred after the Agreement took effect and could not have been foreseen or prevented through reasonable efforts. The party invoking force majeure must provide official documentation from the relevant governmental authority as proof.

9. Intellectual Property and Usage Restrictions

9.1. Feeldate incorporates intellectual property owned by the platform, its affiliates, partners, sponsors, representatives, and other associated third parties.

9.2. Trademarks, trade names, software, and other content available on Feeldate belong to their respective owners and are protected under UK intellectual property laws.

9.3. By using Feeldate, you acknowledge that all platform content and its structure are protected by copyright and other intellectual property laws. These rights are valid and enforceable across all forms, media, and technologies, whether currently existing or developed in the future. Using Feeldate and entering into this Agreement does not grant the User any rights to the platform’s intellectual property, including but not limited to audiovisual content, text, graphics, software, photos, and trademarks.

9.4. Any intellectual property rights associated with content you post on Feeldate are granted under a simple, non-exclusive license for the entire duration of copyright protection, without any royalty payments owed to you, effective from the moment of publication.

10. Messaging Service (Chat)

10.1. You are granted access to the Feeldate platform for message exchange (hereinafter referred to as “chat”). Your personal data will be processed in accordance with UK law. Our administration reserves the right to utilize the information you provide to ensure compliance with applicable UK legislation, including the prevention or suppression of unlawful or illegal actions by users.

10.2. You consent to receiving personal messages via chat from the administration at any time and of any nature, including promotional content. We hold the right to moderate (review, assess, and filter) messages exchanged within the chat.

10.3. The following activities are strictly prohibited in the chat:

Posting messages that contain advertisements and/or spam;
Uploading, sharing, transmitting, or otherwise publishing content that is illegal, harmful, threatening, morally offensive, defamatory, infringes copyrights, or promotes hatred and/or discrimination based on race, ethnicity, gender, or social background;
Sharing links to websites that belong to you or other users;
Sending messages that include profanity, insults towards others, or any content mentioned in Clause 7.1 of this Agreement.

10.4. We have the authority to delete, relocate, or modify messages in whole or in part if they violate this Agreement or are deemed otherwise inappropriate.

10.5. We may disclose your personal information to third parties if a complaint is received stating that material you uploaded violates copyright, privacy rights, or when required by law:

To comply with legal obligations, including court orders, subpoenas, search warrants, or government/law enforcement investigations;
To aid in crime prevention or detection, as permitted by applicable law;
To ensure user safety;
If disclosure mitigates the company’s legal risk in an actual or potential lawsuit;
To safeguard the legal rights of the company, service users, business partners, or other relevant parties;
To enforce compliance with agreements;
To investigate, prevent, or take action against illegal activities, suspected fraud, or other violations.

11. Personal Information

11.1. By accepting this Agreement, you consent to the processing of the personal data you provide during registration, as well as any additional information you voluntarily submit to Feeldate, including its transfer to third parties to facilitate the provision of services.

11.2. The processing of personal data includes but is not limited to collection, systematization, storage, updating, modification, use, dissemination (including transfer), anonymization, blocking, and deletion.

11.3. By registering, you confirm that you have reviewed the Privacy Policy available on the Feeldate platform.

11.4. Your consent to the processing of personal data is granted for an indefinite period.

12. Other Terms

12.1. You confirm that you fully understand and unconditionally accept all terms of this Agreement.

12.3. Any disputes between the parties shall be resolved through negotiations. If no resolution is reached, the dispute will be settled in court at the registered location of Ratiox.

12.4. In all matters not covered by this Agreement, the parties shall refer to the applicable laws of the United Kingdom.

12.5. If any provision of this Agreement is deemed invalid, the remaining provisions shall remain in effect.
